We review Seller's Discretionary Earnings or EBITDA with supporting documentation before a listing reaches you, then help you cross-check it against tax returns, bank statements, and POS or merchant processing reports during due diligence. You should never be taking a seller's word for cash flow.

Most Main Street acquisitions here are financeable through the SBA 7(a) program, and Connecticut has a deep bench of community banks and credit unions that write them regularly. Our lending services team coordinates with SBA and conventional lenders to structure financing around your specific deal.

SBA acquisition financing generally requires a minimum equity injection of ten percent of the total project cost, and in some structures a portion of that can come from a seller note held on full standby. In practice, most buyers plan for ten to twenty percent plus working capital and closing costs. Your lender sets the final number based on the deal and your background.

Often, yes, particularly on larger deals and with owners who care how the business does after they leave. A seller note also tells you something useful: an owner willing to carry paper believes the business will keep performing. We find out early where a seller stands.

An LOI is a mostly non-binding document setting out your proposed price, structure, and timeline before the seller opens the full books. It protects both sides and it's the point where a seller decides you're serious. Your Launchpad materials include a Connecticut-specific template.

An existing business hands you revenue, customers, staff, vendor terms, and permits on day one. You're paying for the risk somebody else already absorbed. Starting from scratch is cheaper up front and far more likely to fail, and no lender will finance it the way they'll finance an acquisition.

Three to six months from accepted offer to closing is normal. SBA underwriting, liquor permit processing, and landlord consent are the three things most likely to stretch it. Clean seller records shorten it more than anything else.

Verifying everything you've been told. Tax returns, bank statements, sales reports, the lease, vendor and customer contracts, employee agreements, equipment condition, licenses and permits, and any liens against the business. In Connecticut it also means permit transferability and, on certain properties, environmental review.

Sometimes they counter. Sometimes, if the number is far enough off, they decline without countering, which is the outcome you want to avoid. That's why we back your offer with real financials from the start, so you end up negotiating instead of getting passed over.
